Fluxys to Buy Medgaz Stake

Fluxys SA said that it has reached an agreement with Endesa and Iberdrola for Fluxys to acquire their stakes in Medgaz, owner and operator of the subsea pipeline flowing gas from Algeria into Spain.

Fluxys expects to close both transactions in the first half of 2013. Prior to closing, the transaction requires the other shareholders in Medgaz (Sonatrach, Cepsa and GDF SUEZ) not to execute their preferential acquisition rights and the consent of the European Investment Bank, which has granted a loan for building the pipeline.

Upon closing Fluxys will have become a 32% partner in Medgaz for an acquisition price of approximately ?233 million, taking into account the usual adjustments in transactions of this nature. Fluxys? financial strength is to remain unaffected by the transaction as by the end of 2012 the company will have carried through a capital increase of over ?140 million. The capital increase allows Fluxys to maintain a solid equity/debt ratio while continuing its development in Europe.

The Medgaz pipeline has been commissioned in April 2011 and can carry 8 billion cubic metres of gas per year. The pipeline is a strategically important link for bringing Algerian gas to Europe and it will further gain significance once the interconnection between the Spanish and French markets has become stronger.

Attackers Target Internet Explorer Zero-Day Flaw ? Krebs on Security

Attackers are breaking into Microsoft Windows computers using a newly discovered vulnerability in Internet Explorer, security experts warn. While the flaw appears to have been used mainly in targeted attacks so far, this vulnerability could become more widely exploited if incorporated into commercial crimeware kits sold in the underground.

IEwarningIn a blog posting Friday evening, Milpitas, Calif. based security vendor FireEye said it found that the Web site for the Council on Foreign Relations was compromised and rigged to exploit a previously undocumented flaw in IE8 to install malicious software on vulnerable PCs used to browse the site.

According to FireEye, the attack uses Adobe Flash to exploit a vulnerability in the latest (fully-patched) version of IE8. Dustin Childs, group manager for response communications at Microsoft, said the vulnerability appears to exist in previous versions of IE.

?We are actively investigating reports of a small, targeted issue affecting Internet Explorer 6-8,? Childs said in an emailed statement. ?We will take appropriate action to help keep customers protected once our analysis is complete. People using Internet Explorer 9-10 are not impacted.?

As FireEye notes, this is another example of a ?watering hole? attack, which involves the targeted compromise of legitimate websites thought to be of interest to or frequented by end users who belong to organizations that attackers wish to infiltrate. Earlier this year, I wrote about similar zero-day attacks against visitors to the Web sites of the National Democratic Institute, The Carter Center, and Radio Free Europe.

Update, Dec. 30, 9:25 a.m. ET:?Microsoft has officially acknowledged this vulnerability in an advisory, which contains some advice for IE users about how to mitigate the threat from the flaw.?As IE versions 9 and 10 are not impacted, users running Windows Vista or higher can upgrade to the latest browser version here.

Budget struggle raising anxiety for health care

(AP) ? Confused about the federal budget struggle? So are doctors, hospital administrators and other medical professionals who serve the 100 million Americans covered by Medicare and Medicaid.

Rarely has the government sent so many conflicting signals in so short a time about the bottom line for the health care industry.

Cuts are coming, says Washington, and some could be really big. Yet more government spending is also being promised as President Barack Obama's health care overhaul advances and millions of uninsured people move closer to getting government-subsidized coverage.

"Imagine a person being told they are going to get a raise, but their taxes are also going to go up and they are going to be paying more for gas," said Thornton Kirby, president of the South Carolina Hospital Association. "They don't know if they are going to be taking home more or less. That's the uncertainty when there are so many variables in play."

Real money is at stake for big hospitals and small medical practices alike. Government at all levels pays nearly half the nation's health care tab, with federal funds accounting for most of that.

It's widely assumed that a budget deal will mean cuts for Medicare service providers. But which ones? How much? And will Medicaid and subsidies to help people get coverage under the health care law also be cut?

As House Speaker John Boehner famously said: "God only knows." The Ohio Republican was referring to the overall chances of getting a budget deal, but the same can be said of how health care ? one-sixth of the economy ? will fare.

"There is no political consensus to do anything significant," said Dan Mendelson, president of Avalere Health, a market analysis firm. "There is a collective walking away from things that matter. All the stuff on the lists of options becomes impossible, because there is no give-and-take."

As if things weren't complicated enough, doctors keep facing their own recurring fiscal cliff, separate from the bigger budget battle but embroiled in it nonetheless.

Come Jan. 1, doctors and certain other medical professionals face a 26.5 percent cut in their Medicare payments, the consequence of a 1990s deficit-reduction law gone awry. Lawmakers failed to repeal or replace that law even after it became obvious that it wasn't working. Instead, Congress usually passes a "doc fix" each year to waive the cuts.

This year, the fix got hung up in larger budget politics. Although a reprieve is expected sooner or later, doctors don't like being told to sit in the congressional waiting room.

"It seems like there is a presumption that physicians and patients can basically tolerate this kind of uncertainty while the Congress goes through whatever political machinations they are going through," said Dr. Jeremy Lazarus, president of the American Medical Association. "Our concern is that physician uncertainty and anxiety about being able to pay the bills will have an impact on taking care of patients."

A recent government survey indicates that Medicare beneficiaries are having more problems when trying to find a new primary care doctor, and Lazarus said that will only get worse.

Adding to their unease, doctors also face an additional reduction if automatic spending cuts go through. Those would be triggered if Obama and congressional leaders are unable to bridge partisan differences and strike a deal. They are part of the combination of tax increases and spending cuts dubbed the "fiscal cliff."

Medicare service providers would get hit with a 2 percent across-the-board cut, but Medicaid and subsidies for the uninsured under Obama's health care overhaul would be spared. The Medicare cut adds up to about $120 billion over ten years, with 40 percent falling on hospitals, according to Avalare's analysis. Nursing homes, Medicare Advantage plans and home health agencies also get hit.

The American Hospital Association says that would lead to the loss of hundreds of thousands of hospital jobs in a labor intensive industry that also generates employment for other businesses in local communities.

"It's very difficult to believe hospitals can absorb the kinds of numbers they are talking about without reducing service or workforce," said Kirby, the hospital association head. "You may decide that a service a hospital provides is not affordable ? for example, obstetrics in a rural community ? if you're making a little bit of money or losing a little bit of money by continuing to deliver babies in a rural community."

Independent analysts like Mendelson doubt that a 2 percent Medicare cut to hospitals would be catastrophic, but say it will cost jobs somewhere.

Even if there is a budget deal, the squeeze will be on.

The administration has proposed $400 billion in health care cuts so far in the budget talks, coming mainly from Medicare spending. That's only a starting point as far as Republicans are concerned. They also want to pare back Medicaid and Obama's health care law, and have also sought an increase in the eligibility age for Medicare.

Arab officials visit cash-strapped Palestinian territory

RAMALLAH, West Bank (Reuters) - Top Arab officials paid a rare visit to the Israeli-occupied West Bank on Saturday to discuss a Palestinian financial crisis that President Mahmoud Abbas hopes will be eased by Arab donations.

Arab League Chief Nabil Elaraby and Egyptian Foreign Minister Mohamed Kamel Amr congratulated the Palestinians on a successful United Nations status upgrade last month, but stopped short of promising the badly-needed funds.

"Palestine is in need of material and political support," Elaraby told a news conference in the Palestinians' de facto capital of Ramallah.

"Arab countries agreed at their Baghdad summit (in March) for an Arab safety net of $100 million dollars each month, but unfortunately none of this has been achieved yet," he said.

Palestinian were cheered by a strong majority in the United Nations recognizing them as an "observer state" on November 29 but have struggled to get Arab support to make up $100 million in shortfalls left by Israeli sanctions following the U.N. move.

Elaraby is the first Arab League Chief to visit Ramallah, but he and other prominent Arab and Islamic leaders, including the Egyptian prime minister, met Abbas's Palestinian Hamas rivals in Gaza during their brief war with Israel last month.

QATARI LEADER

Hamas, which split from the West Bank after it seized control of the Gaza Strip in 2007, also won a diplomatic coup by receiving Emir Hamad bin Khalifa al-Thani, ruler of the oil-rich Gulf state of Qatar, who pledged $400 million in aid for the impoverished territory in October.

The emir postponed a visit to Ramallah he had announced this month, disappointing West Bank officials who had hoped he would arrive bearing gifts of cash.

The Gaza visits broke years of diplomatic quarantine for the Islamist Hamas group, which refuses to recognize Israel or relinquish its arms, and increased the isolation of the dovish, Western-backed Ramallah government.

West Bank officials have watched with worry as uprisings in the Arab world divert attention from their diplomatic strategy, which has failed to achieve an independent Palestinian state.

Hamas militants, by contrast, have been heartened as fellow-Islamists rise to power in Egypt and elsewhere.

Abbas has accused Israel of "piracy" after it withheld customs revenues it collects on the Palestinians' behalf, citing months of utilities bills Ramallah owes Israeli companies.

The financial crisis has forced the Palestinian Authority to delay salary payments to West Bank employees, who have gone on strike in protest. Abbas has responded by saying he might give up power and compel Israel to take on the Palestinians' affairs.

"Sit in the chair here instead of me, take the keys, and you will be responsible for the Palestinian Authority," Abbas warned Israeli Prime Minister Benjamin Netanyahu, in an interview with the Israeli Haaretz newspaper this week.

"I won't do anything as long as there are diplomatic negotiations," he said. "But if the stalemate continues...what's left for us to do?"

U.S. industry presses for duties on shrimp from seven countries

WASHINGTON (Reuters) - U.S. shrimp producers filed a petition on Friday asking the Commerce Department to impose punitive duties on billions of dollars of shrimp from China, Vietnam, India, Indonesia, Malaysia, Thailand and Ecuador to offset what they said were unfair foreign government subsidies.

"Today's filing is about the survival of the entire U.S. shrimp industry," C. David Veal, executive director of the Coalition of Gulf Shrimp Industries, said in a statement.

The group represents shrimp fisherman in Alabama, Florida, Georgia, Louisiana, Mississippi and Texas who say they have lost U.S. market share to lower-priced imports from the six countries in Asia and the one in South America.

"Our harvesters, docks, and processors have all played a vital role in the economy and culture of the Gulf region throughout its history. This case will help determine whether together we can continue to create jobs, contribute to economic growth, and sustain communities across the Gulf states for years to come," Veal said.

The request could be awkward for the United States because it is engaged in regional free-trade talks with two of the countries targeted by the petition, Vietnam and Malaysia.

The threat of punitive U.S. duties on their shrimp exports could make those countries reluctant to agree to U.S. demands for market-opening in other sectors.

The seven countries named in the petition exported $4.3 billion worth of shrimp to the United States in 2011, accounting for 85 percent of U.S. imports and over three-quarters of the domestic market, the U.S. industry group said.

The Commerce Department has several weeks to decide whether to launch an investigation. Assuming it does, final countervailing duties could be in place by the end of 2013 if illegal foreign subsidies are found, the group said.

'Lil Bama' Celebrates 8th Birthday Despite Brain Cancer | WHNT ...

HUNTSVILLE, Ala. (WHNT) -? This is a very special week for a boy in Athens who WHNT NEWS 19 has been following for months.

Today, Friday, December 28th is Ryan Kitchens? eighth birthday.

What makes this birthday so special is that Ryan wasn?t expected to live to see it.

Instead, Ryan has been extra busy over the last few weeks, buying and delivering toys for less fortunate children, making new friends, goofing off and just being a typical kid.

?How are you feeling?? WHNT NEWS 19?s Beth Jett asked Ryan when he visited the station.? ?Good,? he answered.

It?s remarkable, since his doctors didn?t think he?d live to see Christmas.

Ryan is in a fierce battle with two tumors on his brain.

He beat them months ago, but they came back and have grown in size, causing him excrutiating headaches.

?Oh, it?s been a hard hard year,? said Jasmine Davis, Ryan?s mother.? ?After thinking your child?s been cured and less than 10 to 12 weeks later, to have your child again have it worse than they had it the first time and then he?s on Hospice.? That was a huge wake-up call because that only means one thing.?

But Ryan fought back with faith, fun, and determination to live, supported by the power of prayer from thousands of people following his story.

?There?s gotta be a reason why he?s still here,? said Jasmine.

Ryan?s doctors warned her that her youngest child and only son would only grow weaker quickly and likely wouldn?t be around for his next birthday.

They were wrong.

December 28th brings another milestone: he?s now eight years old.

?He?s just.. feeling amazing and acting like his old self again,? said Jasmine.? ?Running, I can barely keep up with him.?

Ryan is better known as ?Lil Bama,? around Alabama and beyond.? He stays energized by his love for University of Alabama Crimson Tide football.

Earlier this year, expecting he didn?t have much time left, Ryan insisted on making his final arrangements, picking out a crimson casket.

But the casket will have to wait, because he?s having too much fun living.

Ryan?s next medical appointment is at the end of January.

You may have noticed his crimson shirt with white letters on it, spelling out ?RYAN?.

Jury Finds Marvell Owes $1.17 Billion in Patent Case - Ask Any Law ...

A federal jury in Pittsburgh found Wednesday that chip-maker Marvell Technology Group Ltd.

should pay nearly $1.17 billion for infringing patents held by Carnegie Mellon University.

The award ranks as the third largest ever in a patent case, according to Lex Machina Inc., a firm that provides data and analytic services used in intellectual-property litigation.

The verdict comes amid a surge in patent litigation around the world, much of it conducted by rivals in the smartphone industry or by companies that buy up and enforce patents.

Marvell, by contrast, was accused by a university of infringing patents related to disk drives used in personal computers, server systems and other products. The damages set by the jury would top the award of about $1 billion issued in August against Samsung Electronics Co.

. The company ended Wednesday with a market value of nearly $4 billion. Marvell, which is known for chips used in data-storage applications, had $2 billion in cash and investments as of Oct. 27.

A spokesman for Marvell said the Santa Clara, Calif., company was disappointed by the verdict but hopeful the judge would reverse the finding based on post-trial motions. If unsuccessful in that effort, Marvell will appeal, he said.

K&L Gates LLP, a law firm representing Carnegie Mellon, said the jury agreed with its allegations that Marvell sold billions of chips incorporating the patented technology without a license to do so.

The jury?s finding of what amounts to willful infringement provides a legal foundation for the judge to increase the damages by as much as three times the amount awarded by the jury, the firm said.

Large jury verdicts in patent cases are often sharply reduced following appeals. On the other hand, interest typically accrues during that process.

?By any measure this is a substantial damages award, which could become even larger,? said Alan Fisch, an attorney at Fisch Hoffman Sigler LLP in Washington, D.C., who isn?t involved in the case. He predicted the appeal process could last 18 months before a final resolution is reached in the case.

Carnegie Mellon sued Marvell in 2009 in the federal court for the Western District of Pennsylvania, alleging the company had infringed patents covering technology associated with ?noise predictive detection,? which is used to increase accuracy in retrieving data from drives.

The inventions were credited to Jos? Moura, a professor at the university, and a graduate student, Alek Kavcic, who is now a professor at the University of Hawaii.

Marvell Calif., argued in court that it didn?t infringe the patents. It alleged that the patents at issue were improperly obtained by withholding information about prior inventions from the U.S. Patent and Trademark Office.

The jury disagreed, finding Wednesday that Marvell products infringed all the patent claims asserted by Carnegie Mellon in the case, according to a verdict form filed with the court.

The jury assessed damages totaling $1.17 billion, upheld the validity of the patents, and ruled that Marvell knew or should have known that its actions would infringe the patents.

The verdict followed a four-week trial before U.S. District Judge Nora Barry Fischer. Marvell last week asked her to declare a mistrial on grounds that lawyers representing Carnegie Mellon made a series of inflammatory statements in closing arguments that ?misrepresented the record and violated at least two of the court?s orders in this case,? according to a brief filed by the company?s lawyers.

Judge Fischer denied the motion for the mistrial ?without prejudice,? indicating that the issues raised by the company could be reviewed later. Other potential issues for Marvell to raise following the verdict include delays by Carnegie Mellon in filing its suit after it learned of the alleged infringement.

A new guide from the American Institutes of Research is designed for state and district leaders, who play a key role in ensuring that ELLs graduate from high school well-prepared for college and careers. The guide summarizes the ELL-relevant information in 34 approved state applications for ESEA waivers, and focuses on implementation of reforms related to ELLs across three principles in waiver requirements: 1) college- and career-ready expectations for all students; 2) differentiated recognition, accountability, and support systems; and 3) effective instruction and leadership. The guide includes requirements for each principle related to ELLs in the flexibility waivers; descriptions of how the plans addressed ELLs; considerations for research-based enhancements to current policy and practice; and examples of state and district innovations for ELLs related to waiver provisions. The gaps in achievement between ELLs and their English-proficient peers continue to be a problem. As growth of the ELL population continues to outpace the growth of the PK?12 population, and ELLs continue to score poorly across content areas, it will be important for states to fully consider ELLs when implementing reform plans.

Simpson off Weight Watchers while pregnant

The rumor that actress and singer Jessica Simpson is pregnant again was confirmed Christmas morning when she tweeted a photo of seven-month-old daughter Maxwell Drew sitting in a patch of sand marked "BIG SIS." And to no one's surprise, Simpson won't be following her Weight Watchers diet program while she's expecting, even though she's their spokesperson.

Simpson "will not be following the program during the pregnancy while her weight and well-being are monitored by her obstetrician, as is recommended for any woman during pregnancy," Weight Watchers said in a statement.

Simpson also confirms her second pregnancy in a new commercial for Weight Watchers, in which she says, "This year is all about new beginnings for me. I lost over 50 pounds on Weight Watchers and did not have to be perfect to do it. Being healthy has become a part of who I am, which is great timing because I'm having another baby."

'Hobbit' extends No. 1 journey with $36.7 million

LOS ANGELES (AP) ? Tiny hobbit Bilbo Baggins is running circles around some of the biggest names in Hollywood.

Peter Jackson's "The Hobbit: An Unexpected Journey" took in $36.7 million to remain No. 1 at the box office for the second-straight weekend, easily beating a rush of top-name holiday newcomers.

Part one of Jackson's prelude to the "The Lord of the Rings" trilogy, the Warner Bros. release raised its domestic total to $149.9 million after 10 days. The film added $91 million overseas to bring its international total to $284 million and its worldwide haul to $434 million.

"The Hobbit" took a steep 57 percent drop from its domestic $84.6 million opening weekend, but business was soft in general as many people skipped movies in favor of last-minute Christmas preparations.

"The real winner this weekend might be holiday shopping," said Paul Dergarabedian, an analyst for box-office tracker Hollywood.com.

Tom Cruise's action thriller "Jack Reacher" debuted in second-place with a modest $15.6 million debut, according to studio estimates Sunday. Based on the Lee Child best-seller "One Shot," the Paramount Pictures release stars Cruise as a lone-wolf ex-military investigator tracking a sniper conspiracy.

Opening at No. 3 with $12 million was Judd Apatow's marital comedy "This Is 40," a Universal Pictures film featuring Paul Rudd and Leslie Mann reprising their roles from the director's 2007 hit "Knocked Up."

Paramount's road-trip romp "The Guilt Trip," featuring "Knocked Up" star Seth Rogen and Barbra Streisand, debuted weakly at No. 6 with $5.4 million over the weekend and $7.4 million since it opened Wednesday. Playing in narrower release, Paramount's acrobatic fantasy "Cirque du Soleil: Worlds Away" debuted at No. 11 with $2.1 million.

A 3-D version of Disney's 2001 animated blockbuster "Monsters, Inc." also had a modest start at No. 7 with $5 million over the weekend and $6.5 million since opening Wednesday.

Domestic business was off for the first time in nearly two months. Overall revenues totaled $112 million, down 12.6 percent from the same weekend last year, when Cruise's "Mission: Impossible ? Ghost Protocol" debuted with $29.6 million, according to Hollywood.com.

Cruise's "Jack Reacher" opened at barely half the level as "Ghost Protocol," but with a $60 million budget, the new flick cost about $100 million less to make.

Starting on Christmas, Hollywood expects a big week of movie-going with schools out through New Year's Day and many adults taking time off. So Paramount and other studios are counting on strong business for films that started slowly this weekend.

"'Jack Reacher' will end up in a very good place. The movie will be profitable for Paramount," said Don Harris, the studio's head of distribution. "The first time I saw the movie I saw dollar signs. It certainly wasn't intended to be compared to a 'Mission: Impossible,' though."

Likewise, Warner Bros. is looking for steady crowds for "The Hobbit" over the next week, despite the debut of two huge newcomers ? the musical "Les Miserables" and the action movie "Django Unchained" ? on Christmas Day.

"We haven't reached the key holiday play time yet," said Dan Fellman, head of distribution for Warner. "It explodes on Tuesday and goes right through the end of the year."

In limited release, Kathryn Bigelow's Osama bin Laden manhunt saga "Zero Dark Thirty" played to packed houses with $410,000 in just five theaters, averaging a huge $82,000 a cinema.

That compares to a $4,654 average in 3,352 theaters for "Jack Reacher" and a $4,130 average in 2,913 cinemas for "This Is 40." ''The Guilt Trip" averaged $2,217 in 2,431 locations, and "Monsters, Inc." averaged $1,925 in 2,618 cinemas. Playing just one matinee and one evening show a day at 840 theaters, "Cirque du Soleil" averaged $2,542.

Since opening Wednesday, "Zero Dark Thirty" has taken in $639,000. Distributor Sony plans to expand the acclaimed film to nationwide release Jan. 11, amid film honors and nominations leading up to the Feb. 24 Academy Awards.

Opening in 15 theaters from Lionsgate banner Summit Entertainment, Naomi Watts and Ewan McGregor's tsunami-survival drama "The Impossible" took in $138,750 for an average of $9,250.

A fourth new release from Paramount, "The Sopranos" creator David Chase's 1960s rock 'n' roll tale "Not Fade Away," debuted with $19,000 in three theaters, averaging $6,333.

Universal's "Les Miserables" got a head-start on its domestic release with a $4.2 million debut in Japan.

Estimated ticket sales for Friday through Sunday at U.S. and Canadian theaters, according to Hollywood.com. Where available, latest international numbers are also included. Final domestic figures will be released Monday.
